Terms of Service

TeamFloe Service Agreement

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you" or "Customer") and TeamFloe, a Canadian federal corporation ("TeamFloe", "we", "us", or "our"), concerning your access to and use of the TeamFloe platform and services (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access the Service.

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years of age.

2. Service Description

TeamFloe provides an AI-powered engineering analytics platform that:

  • Analyzes GitHub repository data to generate DORA metrics
  • Provides AI-driven insights for engineering team performance
  • Offers team management and multi-organization support
  • Delivers automated reports and notifications

The Service requires integration with your GitHub account and repositories. By using the Service, you authorize TeamFloe to access and analyze your GitHub data in accordance with our Privacy Policy.

3. Account Registration

To use the Service, you must:

  • Register for an account using your GitHub credentials
  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access or security breach
  • Accept responsibility for all activities under your account

We reserve the right to refuse registration, suspend, or terminate accounts at our discretion, particularly if we suspect fraudulent, abusive, or illegal activity.

4. Early Access Program

TeamFloe may offer an Early Access Program for the first four (4) months of service availability. Participation in the Early Access Program is by invitation only and at TeamFloe's sole discretion.

Early Access terms:

  • Access may be limited, modified, or terminated at any time
  • Special pricing or terms may apply during Early Access
  • Features may be in beta and subject to change
  • Feedback provided during Early Access may be used to improve the Service
  • Transition to general availability will require acceptance of standard pricing

5. Free Trial

TeamFloe may, at its sole discretion, offer a free trial period to certain organizations. If offered:

  • Trial period is typically fourteen (14) days unless otherwise specified
  • No payment information required during trial unless specified
  • Full access to Service features unless otherwise limited
  • Automatic conversion to paid subscription or termination at trial end
  • Trial availability is not guaranteed and may be revoked at any time

6. Pricing and Payment

6.1 Subscription Fees

  • All prices are in United States Dollars (USD)
  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • TeamFloe reserves the right to change prices with thirty (30) days notice

6.2 Payment Terms

  • Payment is due upon receipt of invoice
  • Subscriptions auto-renew unless cancelled before renewal date
  • Failed payments may result in service suspension or termination
  • Customer is responsible for all applicable taxes

6.3 No Refunds

All fees paid are non-refundable. Upon cancellation, service continues until the end of the current billing period, with no prorated refunds for partial periods.

7. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights
  • Transmit malicious code, viruses, or destructive content
  • Attempt to gain unauthorized access to any systems
  • Interfere with or disrupt the Service or servers
  • Collect or harvest data through automated means without permission
  • Resell or redistribute the Service without authorization
  • Use the Service for competitive analysis or benchmarking
  • Misrepresent your identity or affiliation

8. Intellectual Property Rights

8.1 TeamFloe Property

The Service, including all content, features, and functionality, is owned by TeamFloe and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

8.2 Customer Data

You retain all rights to your data. By using the Service, you grant TeamFloe a limited license to process your data solely for providing the Service. We may use anonymized, aggregated data for improving the Service and creating industry benchmarks.

8.3 Feedback

Any feedback, suggestions, or improvements you provide become the property of TeamFloe and may be used without compensation or attribution.

9. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which details how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

Data Location: Your data may be processed and stored in North America. By using the Service, you consent to the transfer and processing of your data in these locations.

Data Security: We implement industry-standard security measures to protect your data, but cannot guarantee absolute security. You acknowledge the inherent risks of internet data transmission.

10. Service Availability and Modifications

10.1 Service Availability

The Service is provided on a "best effort" basis without guaranteed uptime. We strive for high availability but do not offer Service Level Agreements (SLAs) unless separately agreed in writing.

10.2 Service Modifications

TeamFloe reserves the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice when practicable.

10.3 Maintenance

Scheduled maintenance will be announced in advance when possible. Emergency maintenance may occur without notice.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

11.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 Limitation of Liability

IN NO EVENT SHALL TEAMFLOE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF THE LEGAL THEORY.

11.3 Liability Cap

TEAMFLOE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO TEAMFLOE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11.4 Exceptions

These limitations may not apply where prohibited by law or in cases of gross negligence or willful misconduct.

12. Indemnification

You agree to defend, indemnify, and hold harmless TeamFloe, its officers, directors, employees, and agents, from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

  • Your use of and access to the Service
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including intellectual property rights
  • Any claim that your use of the Service caused damage to a third party

13. Termination

13.1 Termination by You

You may terminate your account at any time through the Service interface or by contacting support. Termination is effective at the end of the current billing period.

13.2 Termination by TeamFloe

TeamFloe may suspend or terminate your account immediately for:

  • Violation of these Terms
  • Non-payment of fees
  • Suspected fraudulent or illegal activity
  • Extended inactivity
  • At our discretion with 30 days notice

13.3 Effect of Termination

Upon termination:

  • Your access to the Service immediately ceases
  • Unpaid fees become immediately due
  • Your data will be retained for sixty (60) days
  • Data export available by request for paid accounts during retention period
  • After retention period, all data will be permanently deleted

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

14.2 Jurisdiction

Any legal action or proceeding shall be brought exclusively in the courts of Ontario, Canada, and you consent to the jurisdiction of such courts.

14.3 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting legal@teamfloe.com. Most disputes can be resolved informally.

15. General Provisions

15.1 Entire Agreement

These Terms constitute the entire agreement between you and TeamFloe regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. TeamFloe may assign these Terms without restriction.

15.5 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15.6 Notices

Notices to TeamFloe shall be sent to legal@teamfloe.com. Notices to you shall be sent to the email address associated with your account.

16. Changes to Terms

TeamFloe reserves the right to modify these Terms at any time. We will provide notice of material changes through the Service interface or via email at least thirty (30) days before the changes take effect.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you disagree with the changes, you must discontinue use of the Service.

18. Export Compliance

You agree to comply with all applicable export and import laws and regulations, including those of Canada and the United States. You represent that you are not located in a country subject to embargo or listed as a "terrorist supporting" country, and that you are not on any prohibited party lists.

By using TeamFloe, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
